These Terms of Service ("Terms") govern your access to and use of Tool (the "Service"), provided by Tool ("Tool," "we," "us," or "our"). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.
1. The Service
Tool is a software platform for construction businesses that includes a mobile timeclock with GPS verification, estimates and e-signatures, milestone billing, change orders, receipt capture, and QuickBooks Online sync. We may add, change, or remove features over time.
2. Accounts and responsibilities
- You must provide accurate information and keep your account credentials secure. You are responsible for all activity under your account.
- The account owner is responsible for managing worker access, PINs, and the data their company collects through the Service.
- You are responsible for ensuring you have any consents required to collect worker location and other data through the Service, and for using that data lawfully.
- You must be at least 18 years old to create an account.
3. Subscriptions, billing, and auto-renewal
- Paid plans are offered as recurring subscriptions billed monthly through Stripe. New accounts may include a free trial; if you do not cancel before the trial ends, the subscription begins and your payment method is charged.
- Auto-renewal. Subscriptions renew automatically at the end of each billing period at the then-current price until you cancel.
- Cancellation. You may cancel anytime from Settings → Billing in the app. Cancellation takes effect at the end of the current billing period; you retain access until then.
- Refunds. Payments are non-refundable except where required by law. Canceling stops future charges but does not refund the current period.
- Price changes. We may change subscription prices. We will give you advance notice, and changes apply to the next billing period.
- Subscriptions purchased through Tool are billed by Tool via Stripe and are not processed through Apple In-App Purchase or the Apple App Store.
4. Acceptable use
You agree not to:
- Use the Service for any unlawful or fraudulent purpose.
- Upload content you do not have the right to use, or that infringes another's rights.
- Attempt to access other customers' data, probe or breach security, or disrupt the Service.
- Reverse engineer, resell, or copy the Service except as expressly permitted.
5. Your data
You retain ownership of the data you and your workers enter into the Service ("Customer Data"). You grant us a limited license to host, process, and display Customer Data solely to provide and improve the Service. Our handling of personal information is described in our Privacy Policy.
6. Third-party integrations
The Service connects with third-party services such as Stripe and QuickBooks Online. Your use of those services is governed by their own terms, and we are not responsible for their availability or actions.
7. Disclaimers
The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that GPS or translation features will be perfectly accurate.
8. Limitation of liability
To the maximum extent permitted by law, Tool will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits or data. Our total liability for any claim relating to the Service will not exceed the amount you paid us in the twelve months before the claim.
9. Termination
You may stop using the Service and cancel your subscription at any time. We may suspend or terminate your access if you violate these Terms or fail to pay. On termination, your right to use the Service ends; we will handle remaining data as described in the Privacy Policy.
10. Changes to these Terms
We may update these Terms from time to time. If we make material changes we will update the "Last updated" date and, where appropriate, notify you within the Service. Continued use after changes take effect means you accept the updated Terms.
